Service Agreements

Below is an example of the agreement we provide to partners. Transparency and collaboration is at our very core. We believe everyone we work with should be given the information to understand who they are working with to create the best workign relationship from the start of your journey with Oakenhelm.

This Service Agreement outlines the terms under which Oakenhelm provides design, branding, marketing, or digital services to the Client under the selected plan.

1. Selected Service Plan

The Client agrees to engage Oakenhelm for services under the following plan (tick applicable option):

Acorn Agreement – One-off, non-committal design services (charged on a pro forma or due-upon-receipt basis).
Sapling Agreement – Monthly plan for ongoing design, branding, or digital services (structured payment model).
Oakheart Agreement – Multiple Sapling services bundled with a discount on the lowest-priced plan to make a mighty oakheart agreement.

2. Scope of Services

Oakenhelm will provide the following services under this agreement:

  • Service Name: [e.g., Branding Design, Social Media Management, Website Design]
  • Project Scope: [Brief description of what is included]
  • Deliverables: [List key deliverables and estimated timelines]

Any work outside this scope will require separate approval and may be subject to additional charges under Acorn Agreement terms.

3. Payment Terms

Clients can engage Oakenhelm under three agreement types. Tick appropriate:

☐ 3.1 Acorn Agreement

  • Pro forma payment required before work begins.
  • Alternatively, if agreed, invoices are due immediately upon receipt (“DUE” terms).
  • Work will not be released until full payment is received.

☐ 3.2 Sapling Agreement

  • Payment is structured as follows:
    • 50% upfront upon agreement acceptance (before work begins).
    • 25% at the end of each month (EOM) for the agreement’s duration.
    • Final 25% settlement upon agreement closure.
  • Any additional services beyond the agreed monthly scope will be charged separately under Acorn Agreement terms.

☐ 3.3 Oakheart Agreement

  • Follows the same payment structure as Sapling, with the added benefit of a 10% discount on the lowest-priced agreement within the Oakheart.

4. Late Payments & Non-Payment

  • Late Fees: A statutory late payment fee of £40 (in accordance with the UK Late Payment of Commercial Debts Act 1998) applies to overdue invoices.
  • Interest Charges: Payments overdue by 30 days are subject to 8% interest plus the Bank of England base rate.
  • Work Suspension: Services may be suspended until payment is received in full.

5. Agreement Duration & Termination

☐ 5.1 Acorn Agreement

  • As a non-committal service, cancellations before work begins are permitted. Payments are non-refundable once work has started.

☐ 5.2 Sapling & Oakheart Agreements

  • A 30-day written notice is required for termination.
  • Any outstanding payments must be settled before cancellation is final.
  • If cancelled mid-month, payments already made are non-refundable.

6. Intellectual Property & Usage Rights

  • The Client gains full rights to the final deliverables upon full payment.
  • Oakenhelm retains ownership of all working files, raw designs, and creative assets unless otherwise agreed in writing.
  • Unpaid work remains the property of Oakenhelm and may not be used until payment is complete.

7. Service-Specific Terms

  • Each service plan follows a structured workflow, including:

    • Client review and approval processes.
    • Revision allowances as per the agreed scope.
    • Estimated timelines and project milestones.

    Oakenhelm will deliver services in line with industry best practices but is not responsible for indirect or consequential losses arising from use of the designs.

8. International & EU-Specific Terms

☐ For Clients Outside the UK

  • Payments must be made in GBP (£) unless otherwise agreed.
  • Any applicable transaction fees must be covered by the Client.

☐ For Clients Within the EU

  • VAT will be applied based on EU regulations. If a valid VAT number is provided, a reverse charge mechanism may apply.
  • Payment timelines align with UK terms unless local regulations dictate otherwise.

9. Dispute Resolution

  • Both parties agree to attempt resolution informally before taking legal action.
  • Any disputes will be governed by UK law and fall under the jurisdiction of England & Wales.

10. Agreement Acceptance

By signing below, both parties acknowledge and agree to the terms outlined in this agreement.
